Welcome to Flowlid AS (not yet registered) (not yet registered) ("Flowlid," "we," "our," "us").

These Terms of Service ("Terms") govern your access to and use of our European VAT Checker for Google Sheets and related digital services ("the Service").

By installing or using the Service, you agree to these Terms.

If you do not agree, do not use the Service.

1. About Flowlid

Flowlid AS (not yet registered) is a Norwegian company (not yet registered), located at:

2. The Service

2.1 The Service allows users to validate EU VAT numbers by querying the European Commission's VIES (VAT Information Exchange System) and returning validation results into Google Sheets.

2.2 The Service depends on third-party systems (including VIES and Google Workspace). We cannot guarantee accuracy, availability, or uninterrupted operation.

2.3 We may update, improve, or modify the Service to enhance security, functionality, or compliance with legal or technical requirements.

2.4 For consumers: If a modification substantially reduces functionality or usability, you may cancel your subscription without penalty.

3. Eligibility and Use

3.1 You must be at least 18 years old.

3.2 If you act on behalf of a company or organization, you confirm that you are authorized to bind it.

3.3 You are responsible for maintaining your Google account and preventing unauthorized access.

3.4 Misuse of the Service (including circumventing quotas or abusing third-party APIs) may result in suspension or termination.

4. Subscriptions and Payment

4.1 The Service may include a free trial (7 days) and paid subscription plans.

4.2 Subscriptions are billed monthly or annually in advance through Stripe.

4.3 Prices are listed in NOK or EUR and include applicable VAT unless stated otherwise.

4.4 We may adjust prices with at least 30 days' written notice.

• If you are a consumer, you have the right to cancel before the new price takes effect.

4.5 Fees are non-refundable except as required by law (for example, if you cancel within the cooling-off period or the service is defective).

5. Consumer Rights and Withdrawal

(Applies only to consumers under Norwegian or EEA law)

5.1 If you are a consumer, you have a 14-day right to withdraw from your purchase when buying online ("angrerett") under the Norwegian Consumer Rights Act (Angrerettloven).

5.2 To start using the Service immediately, you may choose to waive your right of withdrawal when you activate your subscription.

5.3 If you have not waived the right and withdraw within 14 days, you will receive a refund of payments made.

5.4 To exercise your right of withdrawal, contact us at contact@flowlid.com with your name, email, and order details.

6. Fair Use and Quotas

6.1 Subscription plans include a defined quota of VAT validations.

6.2 Exceeding quotas may result in throttling, temporary suspension, or additional charges.

6.3 You may not share, resell, or redistribute Service access without written permission.

7. Data and Privacy

7.1 We process VAT numbers and related metadata only to fulfill your requests.

7.2 Data is not permanently stored, except as required for billing, quota tracking, or performance monitoring.

7.3 Our Privacy Policy explains how we handle personal data in accordance with the EU GDPR and Norwegian Personal Data Act.

7.4 By using the Service, the Customer also agrees to the Data Processing Agreement (DPA), which forms an integral part of these Terms.

7.5 The Service uses the VIES system operated by the European Commission; we cannot control their data practices.

8. Performance, Conformity, and Remedies

8.1 We will deliver the Service as described and ensure it remains functional and secure.

8.2 If the Service is defective or unavailable for an unreasonable time, you may request that we correct the issue.

8.3 If we cannot correct the issue within a reasonable period, consumers may request a price reduction or termination and refund.

8.4 Business customers' sole remedy is limited to re-performance or, if not feasible, refund of prepaid fees.

9. Intellectual Property

9.1 All intellectual property rights in the Service (excluding VAT data and VIES results) belong to Flowlid AS (not yet registered).

9.2 You may not copy, modify, reverse engineer, or distribute the Service.

10. Disclaimers and Limitation of Liability

10.1 The Service is provided "as is" and "as available."

10.2 We are not responsible for:

• Errors or downtime in the VIES system or Google APIs.
• Compliance or financial outcomes based on VAT validation results.

10.3 To the extent permitted by law:

• Our liability to consumers is limited to the direct losses you suffer due to our negligence or breach of these Terms.
• Our liability to business users is limited to the amount paid in the 12 months preceding the claim.

10.4 Nothing in these Terms limits liability for gross negligence, willful misconduct, or rights you have under mandatory law.

11. Termination and Cancellation

11.1 You may stop using the Service or cancel your subscription at any time.

11.2 Paid subscriptions remain active until the end of the paid period unless canceled earlier.

11.3 We may suspend or terminate your access for misuse, legal compliance, or non-payment.

11.4 After termination, access ends immediately, and we may delete associated data unless required to retain it for legal or billing reasons.

12. Changes to These Terms

12.1 We may update these Terms to reflect changes in law or the Service.

12.2 We will notify you in advance of material changes.

12.3 If you are a consumer and do not accept changes that materially affect you, you may terminate your subscription before they take effect.

13. Governing Law and Dispute Resolution

13.1 These Terms are governed by the laws of Norway.

13.2 Consumers may always rely on mandatory protections under their local EEA consumer laws.

13.3 Disputes may be brought before the Oslo District Court (Oslo tingrett) or, for consumers, before their local consumer body or court.

13.4 We encourage you to contact us first to seek an amicable solution.
